Frontly Terms of Use

Welcome to Frontly! These Terms of Use ("Terms") govern your access to and use of Frontly's website, applications, and services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.

1. Acceptance of Terms
By registering for, accessing, or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree with these Terms, you must not use the Services.

Transmit any viruses or destructive code.
5. User Content
Ownership: You retain all rights to the content you submit, post, or display on or through the Services ("User Content").
License to Frontly: By submitting User Content, you grant Frontly a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display the User Content for the purpose of operating and providing the Services.
Responsibility: You are solely responsible for your User Content. You represent that you have all necessary rights to grant the license to Frontly.
6. Payment and Fees
Billing: Some features of the Services may require payment. You agree to pay all fees and charges associated with your account on a timely basis.
Refunds: Fees are non-refundable unless otherwise stated in a separate agreement.
7. Intellectual Property Rights
Frontly Content: All content provided by Frontly, including but not limited to software, images, text, and logos ("Frontly Content"), is the property of Frontly or its licensors and is protected by intellectual property laws.
Restrictions: You may not use, reproduce, or distribute any Frontly Content without our express written permission.
8. Third-Party Services
The Services may integrate with third-party services. Frontly is not responsible for any third-party services or content and does not endorse any products or services offered by third parties.
9. Termination
By You: You may terminate your account at any time by contacting [email protected].
By Frontly: We reserve the right to suspend or terminate your access to the Services at any time, with or without cause or notice.
Effect of Termination: Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive.
10. Disclaimers
As-Is Basis: The Services are provided on an "as is" and "as available" basis. Frontly disclaims all warranties, express or implied.
No Warranty: Frontly does not warrant that the Services will be uninterrupted, error-free, or secure.
11. Limitation of Liability
To the fullest extent permitted by law, Frontly shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues.
12. Indemnification
You agree to indemnify and hold harmless Frontly and its affiliates from any claims, losses, damages, liabilities, including legal fees, arising out of your use or misuse of the Services.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Canada, without regard to its conflict of law provisions.
14. Dispute Resolution
Any disputes arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the ADR Institute of Canada (ADRIC).
15. Changes to Terms
Frontly reserves the right to modify these Terms at any time. We will provide notice of changes by updating the "Effective Date" at the top of these Terms or by other appropriate means. Your continued use of the Services after changes become effective constitutes your acceptance of the new Terms.
16. Miscellaneous
Entire Agreement: These Terms constitute the entire agreement between you and Frontly regarding the Services.
Severability: If any provision of these Terms is found to be invalid, the remaining provisions will remain in full force and effect.
Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
